Main Article Content
Abstract
This research discusses the position and characteristics of company law within the framework of the Introduction to Indonesian Law, particularly in relation to the legal subject, legal entity, and the regulations governing business activities in Indonesia. The analysis focuses on the basic concepts of company law, starting from the status of the rechtspersoon (legal entity), aspects of establishment, liability, and the role of national regulations such as the Indonesian Commercial Code (KUHD), the Indonesian Civil Code (KUHPer), and the Limited Liability Company Act. Through a normative approach, this study explains how the principles in the introduction to law—including the principle of legality, the supremacy of law, and the hierarchy of legislation—affect the formation, management, and protection of companies as legal entities. The results of the analysis show that company law in Indonesia emphasizes a balance between legal certainty and flexibility for the business sector, while maintaining the principles of prudence and accountability. This study is expected to provide a comprehensive understanding of the structure and dynamics of company law as an integral part of the Indonesian legal system.
